What is an RTA?

An RTA provides share transfer and capitalization services for individuals, corporations and institutions. RTAs provides intermediary services on behalf of shareholders including share transfers, stocks, bonds, dividends, mutual funds, debentures, depository trusts and related exchanges.

Transaction services provided by RTAs involve carefully managed record keeping business practices and standards. These include maintaining accurate records relating to contact information, share transfers, dematerialisation (demat) requests, consolidation, conversion, endorsements, splitting and order transmission.

RTAs register transactions with proper authorities, complete transfer notification reports for parties concerned, dispense unclaimed/unpaid dividend warrants, obtain duplicate dividend warrants, courier documents, dispatch share certificate receipts and maintain records for verification and audit purposes.

RTAs support the transfer and positioning of share value in various ways including making shares “sale-ready”, transfer, transmission, dematerialisation, rematerialisation, and dividend dispersement. They provide a host of administrative and back-office services like legal correspondence, document preparation, records transfer and book keeping.

RTAs are governed by central financial authorities and legislative controls that restrict registration and transfer of security instruments, whether in physical (certificate) or electronic form.

RTAs understand the legal rights and responsibilities associated with securities exchange. They help define and enforce client interests through agreements designed to articulate specific financial objectives.

RTA Customers

Individuals, groups, companies, enterprises, institutions and governments all use RTA services in jurisdictions that have adopted related procedures for issuers, account holders and participants. These sources require registered RTA providers with proven asset protection capabilities and secure electronic data systems that help manage risk and protect financial interests while enabling regulatory compliance and reporting.

Dematerialization Benefits

Dematerialization (demat) of shares is the conversion of physical (certificate) shares to electronically held shares. Demat shares provide a mechanism for liquidity. Shareholders with demat shares are able to obtain loans against the value of their shares.

No bank may loan against physical shares as collateral without the guarantee demat provides. And, holding shares in physical form involves an element of risk including fraud.

RTA Advantages

Advantages to using a registered RTA service include security, privacy, accuracy and data integrity. RTAs are professionals familiar with the process of demat, trading, registration, bookkeeping and provisioning of Transfer Agent services. In addition, RTAs are authorized to verify the dematerialization of request forms (DRF), they are the legal Registrar for security transactions and client Agent for related securities transactions.
